12 freelance contract clauses that protect your income
Why most freelance contracts fail
Most disputes with clients aren't about bad faith. They happen because something was never written down: how many revisions, when the invoice is due, what happens if feedback arrives three weeks late. A good contract answers those questions before they come up, in language both sides can read.
The 12 clauses
- Services and SOW: point to a separate statement of work so the main contract stays reusable.
- Fees: amount, currency, and whether it is fixed, hourly or per milestone.
- Deposit: 30–50% before work starts, non-refundable because it reserves your time.
- Payment terms: a due date in days (e.g. 14), not a vague 'on completion'.
- Late fees and pause: a monthly late fee and the right to pause work after 7 days overdue.
- Client responsibilities: feedback turnaround; delays move the deadline.
- Revisions: how many rounds, and what counts as a round.
- Scope changes: nothing new starts until a change order is signed.
- IP on full payment: rights transfer only once you are paid in full.
- Confidentiality: mutual, time-limited.
- Termination: notice period and payment for work done.
- Liability cap and governing law: limit exposure to the fees paid.
Example wording: late payment
"Unpaid amounts after the due date accrue a late fee of 1.5% per month. The Freelancer may pause work while any invoice is more than 7 days overdue; deadlines move by the length of the pause." Check the maximum late fee allowed where you and your client are based.
Next step
Use the clauses above as a checklist against your current contract. If you'd rather start from a complete, editable document, the Contract & Scope-Change Pack includes all 12 plus a statement of work, change order, retainer addendum, NDA and late-payment letters.
FAQ
Do I need a lawyer for a freelance contract?
A template covers the common ground. For high-value work, or if you work across borders, have a local professional review your final version; that review usually costs far less than drafting from scratch.
Is a deposit legally enforceable?
A deposit stated clearly in a signed agreement is generally treated as agreed payment terms, but rules differ by jurisdiction. State what the deposit covers and when it is non-refundable.
